1. Agreement to Terms

By accessing or using the website flexpipeusa.com, placing an order, submitting a quote request, or using any of our tools or services, you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and FlexPipe USA Inc. ("FlexPipe USA", "we", "us", or "our"), a Minnesota corporation located at 12140 Noon Drive, Dayton, MN 55327. If you do not agree to these Terms, do not use our website or services.

2. B2B Use — Eligibility

FlexPipe USA is a business-to-business (B2B) supplier. Our products and services are intended for purchase and use by businesses, contractors, engineers, and other commercial entities — not for personal, family, or household use. By placing an order or submitting a quote, you represent that you are acting on behalf of a business and have authority to bind that business to these Terms. You must be at least 18 years old to use our services.

3. Products and Orders

a. Product Descriptions

We make every effort to accurately describe our products including specifications, materials, dimensions, and pressure ratings. However, we do not warrant that product descriptions are error-free. Specifications are subject to change without notice. It is the buyer's responsibility to verify suitability of products for their specific application prior to purchase.

b. Order Acceptance

All orders are subject to acceptance by FlexPipe USA. We reserve the right to refuse or cancel any order at our discretion, including orders for products listed at incorrect prices. An order confirmation email does not constitute final acceptance — acceptance occurs when we ship your order or explicitly confirm it in writing.

c. Custom and Configured Products

Products configured through our online configurator, quoted via RFQ, or manufactured to custom specifications are non-returnable and non-refundable once production has begun. Engineering review may be required for certain configurations. FlexPipe USA reserves the right to reject configurations that do not meet engineering standards.

4. Pricing and Payment

a. Pricing

All prices are in U.S. dollars and are subject to change without notice. Prices do not include applicable sales tax, shipping, or handling charges, which will be calculated at checkout or stated in your quote.

b. Payment Methods

We accept major credit cards and ACH bank transfers. Payment is processed securely through Stripe. For ACH payments, bank account verification is handled by Plaid. By providing payment information, you authorize FlexPipe USA to charge the specified amount for your order.

c. Net Terms

Net payment terms (Net-30, Net-60) may be available to qualified business accounts at our sole discretion. Credit approval is required. Overdue invoices are subject to a 1.5% monthly finance charge.

5. Shipping and Delivery

Lead times are estimates only and are not guaranteed. FlexPipe USA is not liable for delays caused by carriers, supply chain disruptions, force majeure events, or circumstances beyond our control. Risk of loss and title pass to the buyer upon delivery to the carrier. All shipments should be inspected upon receipt — claims for shipping damage must be filed with the carrier and reported to us within 3 business days of delivery.

6. Returns and Cancellations

• Standard stock items may be returned within 30 days of receipt in original, unused condition with prior written authorization (RMA number required).
• A restocking fee of up to 25% may apply to returned stock items.
• Custom, configured, and made-to-order products are non-returnable.
• Orders may be cancelled prior to shipment subject to applicable cancellation fees. Orders for custom products may not be cancelled once production has begun.
• Defective products will be repaired or replaced at our option.

7. Limited Warranty

FlexPipe USA warrants that its products will be free from defects in materials and workmanship for a period of one (1) year from the date of shipment under normal use and service conditions. This warranty does not cover:

• Damage caused by misuse, misapplication, improper installation, or modification
• Normal wear and tear
• Products used outside their specified pressure, temperature, or media ratings
• Damage caused by corrosive media unless specifically rated for such service

THIS WARRANTY IS EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. FLEXPIPE USA'S LIABILITY UNDER THIS WARRANTY IS LIMITED TO REPAIR OR REPLACEMENT OF THE DEFECTIVE PRODUCT AT OUR SOLE OPTION.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FLEXPIPE USA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, PERSONAL INJURY, OR PROPERTY DAMAGE, ARISING OUT OF OR RELATED TO YOUR USE OF OUR PRODUCTS OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.

9. Engineering Tools and AI Assistant

Our online configurator, AI Sales Engineer, and engineering tools are provided for informational and quoting purposes only. Outputs including pressure ratings, size recommendations, and pricing estimates are not a substitute for professional engineering review. It is the responsibility of the buyer and their qualified engineers to verify that selected products are appropriate for the intended application, service conditions, and applicable codes and standards (including ASME, EJMA, ANSI, and local codes). FlexPipe USA is not liable for any loss, injury, or damage arising from reliance on outputs from our automated tools.

10. Intellectual Property

All content on flexpipeusa.com — including text, graphics, logos, product images, configurator software, and AI tools — is the property of FlexPipe USA Inc. or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without our express written permission.

11. Acceptable Use

You agree not to:

• Use our website for any unlawful purpose
• Scrape, crawl, or systematically extract data from our website
• Attempt to gain unauthorized access to our systems
• Submit false or misleading information in orders or RFQs
• Use our AI tools to generate content for competing services
• Interfere with the proper operation of our website or services

12. Buy American Act Compliance

FlexPipe USA products labeled as "Buy American Act Compliant" or "Made in USA" meet applicable federal procurement requirements as of the date of sale. It is the buyer's responsibility to verify current compliance requirements for their specific contract or procurement program. FlexPipe USA makes no guarantee that products continuously meet evolving regulatory definitions of domestic content.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Minnesota, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of our products and services shall be resolved exclusively in the state or federal courts located in Hennepin County, Minnesota. You consent to personal jurisdiction in those courts.

14. Changes to These Terms

We reserve the right to update these Terms at any time. The "Last updated" date at the top reflects the most recent revision. Continued use of our website or services after changes are posted constitutes acceptance of the updated Terms. For significant changes, we will make reasonable efforts to notify registered account holders by email.
