Terms & Conditions

Effective date: August 2, 2026

These Terms & Conditions govern use of the Flex Pipe USA Inc. website and commercial transactions involving products, quotations, requests for quotation, orders, engineering reviews, documentation, and related services. By using this website, submitting an RFQ, accepting a quotation, issuing a purchase order, or placing an online order, the purchaser agrees to these terms unless Flex Pipe USA accepts different terms in a written quotation, order acknowledgment, or signed agreement.

1. Commercial scope

Flex Pipe USA primarily supplies industrial, commercial, institutional, governmental, and contractor customers. Products may include standard stock items, configurable products, made-to-order hose assemblies, expansion joints, seismic V-loops, pipe guides, anchors, slides, fabricated components, and engineering-review services. The purchaser represents that product selection and use will be managed by qualified personnel familiar with the application.

2. Website information and preliminary tools

Website descriptions, images, dimensions, calculators, estimated ratings, availability, and technical resources are provided for preliminary product identification and purchasing support. They do not replace an application-specific engineering analysis, approved drawing, certified submittal, manufacturer data sheet, code review, or professional engineering judgment. Product appearance may vary from representative images.

For critical service, the purchaser must provide the applicable design pressure, design and operating temperatures, media, corrosion conditions, movement type and magnitude, cycle requirements, routing, supports, anchors, guides, equipment loads, dimensions, applicable codes, and drawings. Flex Pipe USA may require additional information before accepting or releasing an order.

3. Quotations and pricing

Quotation validity, lead time, freight, payment terms, documentation, testing, and scope are controlled by the written quotation. Prices may change before acceptance because of material costs, supplier changes, freight, tariffs, taxes, configuration changes, quantity changes, typographical errors, or incomplete application information. Flex Pipe USA may correct a pricing or product-description error before accepting an order.

Unless expressly included in writing, pricing does not include engineering calculations, professional engineering services, stamped drawings, field measurements, installation, commissioning, special testing, expedited service, special packaging, duties, taxes, or accessorial freight charges.

4. Order submission, review, and acceptance

An automated website acknowledgment or email confirms receipt of an order or RFQ; it does not by itself constitute final acceptance or production release. Configurable, fabricated, made-to-order, freight-sensitive, or technically reviewed items remain subject to commercial and technical review.

An order is accepted when Flex Pipe USA provides a written acceptance or release, accepts payment under the approved terms, begins authorized procurement or fabrication, or ships the goods, as applicable to the transaction. Flex Pipe USA may reject or place an order on hold because of incomplete specifications, unavailable materials, credit or payment issues, shipping restrictions, suspected fraud, pricing errors, safety concerns, or inability to confirm the application.

5. Purchaser-supplied information and approvals

The purchaser is responsible for the accuracy and completeness of specifications, dimensions, drawings, materials, connection requirements, operating conditions, codes, and approvals supplied to Flex Pipe USA. Flex Pipe USA may rely on that information. The purchaser must promptly review quotations, drawings, submittals, and order acknowledgments and notify Flex Pipe USA of discrepancies before approval or production release.

Approval of a drawing, quotation, or configuration authorizes production according to the approved information. Changes after approval may affect price, lead time, materials, tooling, testing, documentation, and cancellation charges.

6. Made-to-order products, changes, and cancellations

Custom, fabricated, cut-to-length, specially configured, engineered, tested, or project-specific products are made for the purchaser and are generally nonreturnable. A cancellation or change request is not effective until accepted by Flex Pipe USA in writing.

If procurement, engineering, fabrication, testing, documentation, or special packaging has begun, the purchaser is responsible for completed work, committed materials, supplier cancellation charges, nonreturnable components, and reasonable administrative costs. See the Returns Policy for return-authorization requirements.

7. Payment, credit, and taxes

Available payment methods may include direct credit or debit card payment, a secure card-payment link issued after order review, ACH or wire transfer, and approved purchase-order or check terms. Payment terms are those stated in the accepted quotation, invoice, credit approval, or order acknowledgment. Flex Pipe USA may require a deposit, payment in advance, credit approval, or cleared funds before procurement, fabrication, or shipment.

The purchaser is responsible for applicable sales, use, excise, value-added, import, customs, and similar taxes or charges unless a valid exemption certificate is provided and accepted before invoicing. The purchaser is responsible for bank, wire, currency-conversion, collection, and returned-payment fees attributable to the purchaser.

8. Shipping, freight, and delivery

Shipping methods, freight charges, handling, packaging, carrier service, and lead times depend on the product, dimensions, weight, destination, and delivery requirements. Checkout rates apply only when the product and destination can be rated automatically. When checkout uses a shipping or freight method marked as finalized after order review, any $0 shipping amount is provisional and does not represent free freight unless the order separately qualifies for the stated Free Freight program. Long-length, oversized, palletized, expedited, hazardous, international, or freight-sensitive shipments may require revised charges and purchaser approval before release.

Lead times and delivery dates are estimates unless Flex Pipe USA expressly agrees otherwise in writing. Carrier delays, weather, material availability, supplier delays, labor interruptions, technical review, testing, customer approvals, and other conditions may affect delivery. Risk of loss and shipping terms are controlled by the accepted quotation, order acknowledgment, or invoice. See the Shipping & Delivery Policy.

9. Inspection, shortages, and transit damage

The purchaser must inspect shipments promptly. Visible transit damage, shortages, incorrect items, or package discrepancies must be reported within five days after receipt. The purchaser must retain the product, packaging, shipping label, and supporting photographs while the issue is reviewed. Concealed defects should be reported promptly after discovery and before modification, installation, or further use when reasonably possible.

10. Installation and use

The purchaser is responsible for proper storage, handling, installation, supports, alignment, anchoring, guiding, restraint, inspection, maintenance, and operation. Products must not be twisted, over-bent, over-pressurized, exposed beyond their approved temperature or chemical limits, or used outside the accepted application. Field welding, modification, disassembly, repair, or reuse may void applicable remedies unless authorized in writing.

11. Limited product remedy

Flex Pipe USA warrants that, at shipment, goods supplied by Flex Pipe USA will materially conform to the accepted written specifications and will be free from material defects in workmanship under normal, approved service. This warranty does not cover normal wear, corrosion, chemical attack, fatigue, improper installation, misalignment, vibration beyond the approved basis, pressure or temperature excursions, purchaser-supplied specifications, unauthorized modification, accident, abuse, or use outside the accepted application.

After inspection and confirmation of a covered nonconformity, Flex Pipe USA may, at its option, repair the affected item, replace it, reperform the affected service, or refund the amount paid for the affected item. No additional warranty, performance guarantee, service-life representation, or fitness determination is binding unless expressly stated in a written quotation, specification, or agreement accepted by Flex Pipe USA.

12. Limitation of commercial damages

To the extent permitted by applicable law, Flex Pipe USA is not liable for indirect, incidental, special, exemplary, punitive, or consequential commercial damages, including lost production, downtime, lost profit, loss of use, removal, reinstallation, or third-party delay costs. Flex Pipe USA’s aggregate liability arising from an affected product or service will not exceed the amount paid to Flex Pipe USA for that affected product or service. These limitations do not apply where prohibited by law or where an agreed limited remedy fails of its essential purpose.

13. Purchaser specifications and third-party claims

The purchaser is responsible for claims arising from purchaser-furnished designs, trademarks, drawings, specifications, or instructions, including infringement claims caused by compliance with those materials. The purchaser is also responsible for claims arising from unauthorized modification, improper installation, unsafe use, or use outside the accepted application, except to the extent caused by a confirmed defect attributable to Flex Pipe USA.

14. Website and intellectual property

Website content, product descriptions, software, calculators, graphics, photographs, drawings, trademarks, and documentation may not be copied, resold, republished, reverse engineered, or used to create competing commercial materials without written permission, except for reasonable internal evaluation and purchasing use.

15. Events beyond reasonable control

Flex Pipe USA is not responsible for delay or failure caused by events beyond its reasonable control, including supplier interruption, material shortage, transportation disruption, severe weather, fire, flood, epidemic, labor disruption, utility or network failure, governmental action, embargo, tariff change, cyber incident, or carrier delay. Performance will resume as reasonably practicable.

16. Electronic transactions

The parties may conduct transactions using electronic records, emails, online forms, electronic approvals, and electronic signatures. The purchaser is responsible for maintaining accurate contact information and authority for personnel submitting orders, approvals, and purchase instructions.

17. Governing law and order of precedence

These terms and transactions with Flex Pipe USA are governed by the laws of the State of Minnesota, without regard to conflict-of-law principles. Any dispute must be brought in a state or federal court having jurisdiction in Minnesota, unless the parties agree otherwise in writing.

If documents conflict, the following order controls unless Flex Pipe USA expressly agrees otherwise in writing: (1) a signed agreement; (2) the accepted Flex Pipe USA quotation or written order acknowledgment; (3) approved drawings or submittals for technical scope; (4) these Terms & Conditions; and (5) the purchaser’s purchase order. Additional or different purchaser terms are rejected unless specifically accepted in writing by an authorized representative of Flex Pipe USA.

18. Severability, waiver, and updates

If a provision is held unenforceable, the remaining provisions remain effective. A delay or failure to enforce a provision is not a waiver. Flex Pipe USA may update these website terms prospectively; the terms in effect when an order is accepted apply to that order unless the parties agree otherwise in writing.
